1. Who you are contracting with

Reservation Auditor by Oditly is provided by Oditly Technologies Pvt Ltd, a company based in India ("Oditly", "we", "us"). You contract with Oditly for access to the service. By creating an account or continuing to use the service, you agree to these terms. If you use the service on behalf of a business, you confirm you have authority to agree for that business.

2. The service and your account

Reservation Auditor places AI-powered reservation audit calls, records and transcribes them, and presents scoring, reports and analytics. You are responsible for the accuracy of property and contact information you provide, for keeping your login details secure, and for activity in your workspace. You must have authority to submit each phone number and to arrange calls and recordings in the locations concerned, including any notices or consents required by law.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes. The service may change over time. We do not guarantee uninterrupted, error-free service or that every attempted call will connect or produce an assessable result.

3. Acceptable use

Do not use the service unlawfully or to commit fraud, send spam or harass people. Do not infringe another person's intellectual property or privacy rights. Do not introduce malware, probe or interfere with service security, scrape the service, circumvent technical limits, reverse engineer it except where the law permits, or resell access without written permission.

4. Content and ownership

You retain rights in the property details and other material you submit, subject to any rights held by others. You give us permission to host, process and use that material, recordings and transcripts only as needed to provide and protect the service. You are responsible for having the rights and permissions needed to supply it. Oditly retains ownership of the service, software, documentation, scoring framework and branding. Reports and AI assessments are tools for review, not guaranteed factual conclusions. Review important results against the underlying evidence.

Rights holders can report a suspected infringement to robert.weir@oditly.com. We may remove or restrict infringing content and suspend repeated infringers.

5. Credits, payments and refunds

One credit is ordinarily used for each completed audit. The first completed audit in a new workspace is free. Credit-pack prices are displayed before purchase. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Paddle's Buyer Terms govern the payment, billing, tax, cancellation and refund mechanics of orders. Please also read our Refund Policy. Credits are pay-as-you-go rather than a recurring subscription.

6. Suspension and ending access

We may suspend or terminate access for a material breach of these terms, non-payment, a security or fraud risk, or serious or repeated policy violations. You may stop using the service and request account closure by contacting us. If access ends, contact us promptly about retrieving your workspace data. We may delete or anonymise it when it is no longer needed, subject to legal retention requirements.

7. Liability and governing law

To the extent permitted by applicable law, the service is provided without implied guarantees of fitness for a particular purpose or merchantability. We are not liable for indirect or consequential losses, including lost profits or business opportunities. Our total liability arising from the service is limited to the amounts paid for it in the 12 months before the claim. Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud.

These terms are governed by the laws of India, subject to any mandatory consumer protections that apply to you. Disputes are subject to the courts of India. For questions, contact robert.weir@oditly.com.
